Agreement to Our Legal Terms

These Terms of Service ("Legal Terms") are a legally binding agreement between you and Bayside Community Ambulance Corps, Inc., doing business as Bayside Volunteer Ambulance Corps® and BVAC Rescue Response Training Center ("Company," "we," "us," or "our").

We operate https://www.bvacorps.org (the "Site"), along with any related products, services, training programs, forms, registrations, and other offerings that refer or link to these Legal Terms (collectively, the "Services").

1. Our Services

The information provided through our Services is not intended for distribution to or use by any person or entity in any jurisdiction where such use would violate applicable law or regulation or require us to register in that jurisdiction. Anyone who accesses the Services from outside the United States does so at their own initiative and is responsible for compliance with local laws.

The Services are not designed to comply with industry-specific regulations such as HIPAA, FISMA, or similar laws. You may not use the Services in any way that would cause us to violate the Gramm-Leach-Bliley Act (GLBA) or similar laws.

2. Intellectual Property Rights

Our Intellectual Property

We own or license all intellectual property rights in the Services, including all content, text, graphics, photographs, videos, website design, software, databases, functionality, trademarks, logos, and service marks (collectively, the "Content" and the "Marks").

All Content and Marks are protected by copyright, trademark, and other intellectual property laws in the United States and elsewhere.

Your Limited License to Use the Services

Subject to your compliance with these Legal Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • access and use the Services; and
  • download or print portions of the Content solely for your personal, non-commercial use.

Except as expressly permitted in these Legal Terms, you may not copy, reproduce, republish, upload, post, publicly display, distribute, sell, license, or otherwise exploit any part of the Services, Content, or Marks without our prior written permission.

We reserve all rights not expressly granted in these Legal Terms. Any violation of this section may result in immediate termination of your right to use the Services.

Submissions

If you send us feedback, suggestions, ideas, comments, or other submissions ("Submissions"), you agree that we may use them without restriction and without compensation to you.

By submitting content to us, you represent that:

  • your Submission is lawful and does not violate these Legal Terms;
  • you have the necessary rights to provide it;
  • it does not infringe the rights of any third party; and
  • it is not confidential unless expressly agreed otherwise in writing.

You are solely responsible for your Submissions.

3. User Representations

By using the Services, you represent and warrant that:

  1. all information you provide is true, accurate, current, and complete;
  2. you will keep that information updated;
  3. you have the legal capacity to agree to these Legal Terms;
  4. you are at least 13 years old;
  5. if you are a minor, you have parental or guardian permission;
  6. you will not access the Services through automated means such as bots or scripts unless authorized;
  7. you will not use the Services for any illegal or unauthorized purpose; and
  8. your use of the Services will comply with all applicable laws and regulations.

If any information you provide is false, inaccurate, outdated, or incomplete, we may suspend or terminate your access to the Services.

4. User Registration

Some parts of the Services may require registration. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.

We reserve the right to remove, reclaim, or change any username that we determine, in our sole discretion, is inappropriate, misleading, obscene, or otherwise objectionable.

5. Products

We make reasonable efforts to display product and service descriptions, colors, features, specifications, and availability as accurately as possible. However, we do not guarantee that all descriptions, pricing, features, or other details will always be accurate, complete, current, or error-free.

All products and services are subject to availability. We reserve the right to change or discontinue any product or service at any time without notice.

6. Purchases and Payment

We may accept payment through:

  • Visa
  • Mastercard
  • American Express
  • Discover
  • PayPal
  • Stripe

You agree to provide current, complete, and accurate billing and payment information for all purchases made through the Services. You also agree to promptly update your account information, including your email address, payment method, and expiration date.

All payments must be made in U.S. dollars. We may add applicable sales tax where required.

We reserve the right to:

  • change prices at any time;
  • correct pricing errors, even after payment has been requested or received;
  • refuse or cancel any order; and
  • limit quantities purchased per person, household, account, billing address, or payment method.

We may also limit or prohibit orders that appear to be placed by dealers, resellers, or distributors.

7. Refund Policy

Eligibility

  • Live training classes: Refund requests must be submitted at least 7 days before the class start date.
  • Certifications: Refund requests must be submitted within 7 days of purchase and before the certification exam has been taken.

Non-Refundable Fees

The following are non-refundable:

  • administrative fees;
  • registration fees;
  • materials or resources already provided; and
  • discounts and promotional offers.

Refund Request Process

  • your full name;
  • order number;
  • course name; and
  • reason for the request.

We will review refund requests within 5 business days. Additional information may be requested.

If approved, refunds will be processed within 10 business days and returned to the original payment method.

Special Circumstances

If BVAC Rescue Response Training Center cancels a class, enrolled participants will receive a full refund or may choose to transfer to another class of equal value.

Medical emergencies or significant personal circumstances may be reviewed on a case-by-case basis. Supporting documentation may be required.

Exceptions

The following are non-refundable unless otherwise required by law:

  • customized training programs;
  • special events; and
  • any course or certification explicitly marked "non-refundable."

If a course is purchased through a third-party provider, that provider's refund policy applies.

8. Prohibited Activities

You may use the Services only for their intended purpose. You agree not to:

  • copy, scrape, harvest, or systematically collect data from the Services without permission;
  • trick, defraud, or mislead us or other users;
  • interfere with security features or access restrictions;
  • use the Services to harass, abuse, threaten, or harm another person;
  • upload viruses, malicious code, or harmful material;
  • use bots, scripts, or automated tools without authorization;
  • impersonate another person or misrepresent your identity;
  • reverse engineer, decompile, or disassemble any part of the Services except as permitted by law;
  • collect user information for unsolicited communications;
  • use the Services for unlawful or unauthorized commercial purposes;
  • post false, misleading, defamatory, obscene, discriminatory, or abusive content; or
  • use the Services in any way that violates applicable law.

We reserve the right to suspend or terminate access for any violation of this section.

9. User Generated Contributions

The Services generally do not offer public posting or user-generated content features. However, if we allow you to submit reviews, comments, materials, or other content ("Contributions"), you represent and warrant that:

  • your Contributions do not violate any law or third-party rights;
  • your Contributions are not false, misleading, abusive, defamatory, obscene, or discriminatory;
  • your Contributions do not invade another person's privacy or publicity rights;
  • your Contributions do not include unlawful or offensive material; and
  • you have all necessary permissions to submit them.

Any violation of this section may result in suspension or termination of your access to the Services.

10. Contribution License

By submitting Contributions, suggestions, or feedback to us, you agree that we may access, store, process, and use that information in accordance with our Privacy Policy and these Legal Terms.

You retain ownership of your Contributions, but by submitting them, you grant us the rights necessary to use, review, process, display, and manage them in connection with the Services.

You are solely responsible for your Contributions, and you agree not to hold us liable for them.

11. Guidelines for Reviews

If we allow reviews or ratings, you agree that your reviews:

  1. are based on your genuine firsthand experience;
  2. do not contain offensive, abusive, hateful, or discriminatory language;
  3. do not include false or misleading statements;
  4. do not promote illegal activity; and
  5. are not part of a coordinated effort to manipulate ratings or reviews.

We reserve the right, but not the obligation, to review, remove, or reject any review in our sole discretion.

By posting a review, you grant us a perpetual, non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, and publish that review.

12. Third-Party Websites and Content

The Services may contain links to third-party websites or content. We do not control, monitor, or guarantee the accuracy, appropriateness, or reliability of third-party websites or materials.

Your use of third-party websites and services is at your own risk. We are not responsible for any losses, damages, or issues arising from your interactions with third parties.

13. Services Management

We reserve the right, but not the obligation, to:

  1. monitor the Services for violations of these Legal Terms;
  2. take appropriate legal action against violators;
  3. restrict, suspend, or terminate access to the Services;
  4. remove content that is excessive, unlawful, or burdensome to our systems; and
  5. manage the Services in a manner that protects our rights, users, and operations.

14. Privacy Policy

By using the Services, you agree to our Privacy Policy, which is incorporated into these Legal Terms.

The Services are hosted in the United States. If you access them from outside the United States, you understand and agree that your information may be transferred to and processed in the United States.

We do not knowingly collect personal information from children under 13 without appropriate parental consent. If we learn that we have received such information, we will take reasonable steps to delete it.

15. Term and Termination

These Legal Terms remain in effect while you use the Services.

We reserve the right, in our sole discretion and without notice or liability, to deny access to the Services, suspend accounts, terminate users, or remove content for any reason, including violation of these Legal Terms or applicable law.

If your account is terminated, you may not create a new account under your own name, a false name, or another person's name without our written permission.

16. Modifications and Interruptions

We reserve the right to modify, suspend, or discontinue the Services, in whole or in part, at any time and without notice.

We do not guarantee that the Services will always be available. Interruptions may occur due to maintenance, hardware issues, software issues, or other causes.

We are not liable for any loss, damage, or inconvenience caused by your inability to access or use the Services.

17. Governing Law

These Legal Terms and your use of the Services are governed by the laws of the State of New York, without regard to its conflict of law principles.

18. Dispute Resolution

Informal Negotiations

Before initiating arbitration or litigation, both parties agree to attempt to resolve any dispute informally for at least 30 days after written notice is given.

Binding Arbitration

If a dispute cannot be resolved informally, it will be resolved through binding arbitration, except for disputes specifically excluded below.

Arbitration will be conducted under the rules of the American Arbitration Association (AAA), including the applicable consumer rules where appropriate. Arbitration may take place in person, by phone, online, or through written submissions, as permitted by the applicable rules.

Unless otherwise required by law or AAA rules, arbitration will take place in New York, United States.

Court Proceedings

If a dispute proceeds in court rather than arbitration, the parties agree that it will be brought in the state or federal courts located in New York, and each party consents to that jurisdiction and venue.

Time Limit

Any dispute related to the Services must be brought within one (1) year after the cause of action arises, unless prohibited by law.

Restrictions

To the fullest extent permitted by law:

  • disputes will be resolved only on an individual basis;
  • no class actions or class arbitrations are permitted; and
  • no party may bring claims in a representative capacity on behalf of others.

Exceptions

The following are not subject to the informal negotiation and arbitration provisions above:

  • disputes involving intellectual property rights;
  • disputes involving allegations of theft, piracy, invasion of privacy, or unauthorized use; and
  • claims for injunctive relief.

19. Corrections

There may be typographical errors, inaccuracies, or omissions on the Services, including with respect to product descriptions, pricing, availability, and other information. We reserve the right to correct any such errors and to update information at any time without prior notice.

20. Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE ARE NOT RESPONSIBLE FOR ANY ERRORS, OMISSIONS, THIRD-PARTY CONTENT, UNAUTHORIZED ACCESS, INTERRUPTIONS, OR DAMAGES ARISING FROM USE OF THE SERVICES.

21. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR OTHER LOSSES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, DURING THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

22. Indemnification

You agree to defend, indemnify, and hold harmless Bayside Community Ambulance Corps, Inc., its affiliates, officers, directors, employees, agents, partners, and representatives from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from:

  1. your use of the Services;
  2. your violation of these Legal Terms;
  3. your violation of any law or third-party rights; or
  4. any harmful act toward another user or third party connected to your use of the Services.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, at your expense.

23. User Data

We may maintain data that you submit to the Services for operational, administrative, and performance purposes.

Although we use routine backups and reasonable safeguards, you are solely responsible for the data you transmit and for maintaining your own copies where appropriate. We are not liable for loss or corruption of user data.

24. Electronic Communications, Transactions, and Signatures

By visiting the Services, sending emails, or completing online forms, you agree to receive communications electronically.

You consent to the use of electronic signatures, contracts, records, notices, and other communications, and you agree that electronic communications satisfy any legal requirement that such communications be in writing.

You also waive any requirement for original signatures or non-electronic records, except where prohibited by law.

26. Commercial Model Release

This section applies to students, instructors, participants, or other individuals whose image, voice, or likeness may be captured in connection with our Services.

By participating in our classes, events, or activities, you authorize Bayside Volunteer Ambulance Corps® and BVAC Rescue Response Training Center (the "Corps") to photograph, record, and use your name, image, voice, and likeness for promotional, educational, commercial, marketing, online, print, and related purposes.

You agree that:

  • you will not receive compensation for such use, now or in the future;
  • the Corps owns all rights to photographs, recordings, and related materials created by or for the Corps;
  • the Corps may edit, alter, reproduce, publish, distribute, license, and reuse such materials without restriction;
  • you waive any right to inspect or approve the final use of such materials; and
  • you release the Corps from claims arising out of the lawful use of such materials.

You further acknowledge that such materials may be used in marketing campaigns, public service announcements, and promotional materials, including campaigns or messages with which you may not personally agree.

You confirm that no existing agreement prevents you from granting these rights.

27. Miscellaneous

These Legal Terms, together with any policies or operating rules posted on the Services, constitute the entire agreement between you and us regarding the Services.

Our failure to enforce any provision of these Legal Terms is not a waiver of that provision.

If any part of these Legal Terms is found to be unlawful, void, or unenforceable, that part will be severed and the remaining provisions will remain in full force and effect.

Nothing in these Legal Terms creates a joint venture, partnership, employment, or agency relationship between you and us.

You agree that these Legal Terms will not be construed against us solely because we drafted them.

28. Waiver and Release of Liability

By participating in any class, training, event, drill, exercise, or other activity offered by BVAC Rescue Response Training Center and/or Medicine in Bad Places, you acknowledge and agree to the following:

You voluntarily assume all risks associated with participation, including risks arising from negligence, carelessness, defective equipment, property conditions, travel to and from the activity, weather, physical exertion, terrain, facilities, actions of other participants, and other known or unknown hazards.

You certify that:

  • you are physically able to participate;
  • you have no health-related reason preventing participation, unless disclosed and cleared by an appropriate professional; and
  • you understand the activity may involve physical and mental stress and may result in injury, disability, property loss, or death.

To the fullest extent permitted by law, you waive, release, and discharge BVAC Rescue Response Training Center, Medicine in Bad Places, their directors, officers, employees, volunteers, representatives, agents, sponsors, organizers, venue owners, and affiliated persons or entities from any and all liability for injury, death, loss, theft, or damage arising from your participation, including claims based on negligence.

You also agree to indemnify and hold harmless those parties from any claims arising out of your participation.

You consent to receive emergency medical treatment if deemed necessary during an activity.

By checking the box, registering, signing electronically, or otherwise participating, you acknowledge that you have read and understood this waiver and release, and that you are agreeing to it voluntarily.
